Why are we having two meetings?

Why are we having two meetings?

If the new Trust Deed passes, we will need a second special meeting (called an Extraordinary Meeting) to pass a resolution on the date we will formally transfer assets from our current Incorporated Society to the new Charitable Trust. We can’t do this at the AGM as the new Trust Deed needs to be legally registered before we pass this resolution on the date to transfer assets. This is why there is a second special meeting planned for after the AGM.

This Extraordinary Meeting will be short, but it’s equally important. It's also an opportunity to ask questions about how the process of transferring assets will work. Please RSVP for both meetings, as your oversight and insights are needed and much appreciated!

Background on the vote for a new Trust Deed

After important discussion over the last few years, a decision was made at the 2024 AGM to change our legal structure from an Incorporated Society to a Charitable Trust. This was in response to changes in the legislation governing Incorporated Societies (which the organisation is currently).

To change we need a new Trust Deed for the organisation. To do this a working group made up of AIANZ staff and longstanding members along with the Board developed a draft. This draft was consulted on with supporters and feedback is now being carefully considered (to find out more click here). A second round of consultation will follow in April. After considering feedback received through this process a final draft will be prepared and put to the AGM to vote on as the new Trust Deed for the organisation.
